License

This agreement, the DarkEffekt End User License Agreement, is between you and Dark Identity, LLC, a Delaware limited liability company trading as DarkEffekt. Installing or using the software accepts it. If you do not accept it, do not install the software, and ask the storefront you bought from for a refund.

What this covers

DarkEffekt software obtained anywhere other than the Unity Asset Store: our own storefront (Stripe), and any other reseller we authorize. A copy obtained through the Unity Asset Store is licensed instead by the Unity Asset Store End User License Agreement. Where a separate written agreement exists between you and DarkEffekt, that agreement governs.

The version of this agreement in force for your copy is the one published on the date you bought it.

Your license

You get a worldwide, non-exclusive, perpetual, non-transferable license to install and use the software, on the terms below. It is a license, not a sale of the software itself.

• One license covers one person, on as many machines as that person alone uses. It does not cover a second person, whether or not you use the software at the same time.
• A company or other organization needs one license for each individual who uses the software. Buying in a company's name licenses the individuals it names, and a license may be reassigned to a replacement individual when the first one leaves.
• Copies for backup and for your own build or CI machines are permitted, and count against no seat.

What you may ship

Everything you make with the software is yours to distribute, commercially or not, with no royalty, revenue share, or further fee, and with no separate distribution license: recordings, music, sound design, games, applications, and any other work that contains what the software produced. Attribution is not required.

Where a product is a library or engine component made to be built into a game or application, you may ship it inside that work, and only there: the work must be one a recipient cannot extract the software from and use on its own. An instrument, effect, or other standalone product is never part of what you ship; only its output is.

What you may not do

• Redistribute, resell, rent, lend, sublicense, or publish the software itself, its installers, its source, or its assets, in original or modified form.
• Share, publish, or resell a license key, download link, or account credential, or use one you did not buy.
• Remove or obscure a copyright notice, license notice, or watermark.
• Reverse engineer, decompile, or disassemble the software, except to the extent that law gives you a right we cannot exclude.
• Redistribute the assets, presets, samples, or impulse responses as a library, sample pack, preset pack, or asset pack, or use them to build a product that competes with the one you bought.
• Circumvent, or help anyone circumvent, a license check or purchase.

Ownership

Dark Identity, LLC and its licensors keep all rights in the software, including copyright and trademarks. You keep all rights in the work you make with it. Third party material incorporated in a product is listed in the notices file that ships with it, and its own license terms apply to it.

Updates and support

Updates we release for a product you have licensed are covered by this agreement on the same terms, at no further cost, unless we say at the time that a release is a separate product. We are not obliged to release updates, to keep a version available, or to keep supporting a host, platform, or engine version.

Refunds

Refunds are handled by the storefront you bought from, under its policy, and that storefront is the seller of record. Write to support@darkeffekt.com if a storefront will not resolve a refund you believe you are owed.

No warranty

The software is provided as-is, without warranty of any kind. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the software will be uninterrupted, error free, or fit for a production pipeline. You are responsible for backing up your projects and for testing the software in your own work before you rely on it.

Liability

To the fullest extent the law allows, Dark Identity, LLC is not liable for indirect, incidental, special, or consequential losses, or for lost profits, data, work, or goodwill, arising from the software or from any inability to use it, and our total liability for everything else is limited to what you paid for the copy in question. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot lawfully be limited, and an exclusion a jurisdiction disallows does not apply there.

Termination

This license ends if you materially breach it and do not fix the breach within 30 days of us telling you about it. When it ends, stop using the software and delete your copies. Works you have already distributed are unaffected, and their recipients keep the right to use the copy inside them. The ownership, no warranty, liability, and governing law sections survive.

Governing law

This agreement is governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. Venue is the state or federal courts located in Washington. Consumers keep the mandatory protections of the country they live in, and the right to bring a claim where that law allows.

General

If a part of this agreement is unenforceable, the rest still applies. Not enforcing a term is not a waiver of it. You may not assign this agreement or transfer your license; we may assign it to a successor of the business. This agreement, and the notices file that ships with a product, are the whole agreement about the software. Use of darkeffekt.com is covered separately by our terms, and what we do with your data by our privacy policy.
